These Terms of Use (“Terms”) govern your access to and use of the BePaid.ch website and invoicing software service (collectively, the “Service”), operated by BePaid Sàrl (c/o DM Fiduciaire Sàrl, Rue des Jordils 40, 1025 St-Sulpice, Switzerland). By creating an account or using any part of the Service, you agree to be bound by these Terms, as well as our Privacy Policy (see above). If you do not agree with these Terms or the Privacy Policy, you must not use the Service.
These Terms constitute a legally binding agreement between you (the user) and BePaid Sàrl. Please read them carefully. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
The Service is intended for use by individuals and businesses located in Switzerland. By registering an account, you confirm that you are a resident of Switzerland or your business is established in Switzerland. You must also be at least 18 years old (or the age of majority in your canton) and capable of entering into a binding contract to use BePaid.ch. We do not knowingly offer the Service to minors or to users outside of our intended service region. We reserve the right to refuse access to the Service to anyone, or to limit access to users outside Switzerland, at our discretion.
Account Creation: To use certain features of the Service (such as creating invoices or accessing the dashboard), you need to register for a user account. During registration, you must provide a valid email address and your name, and choose a secure password. If you create an account on behalf of an organization or company, you must provide the organization’s details as requested and have the authority to do so.
Account Information: You agree to provide truthful, accurate, and complete information during the registration process and to keep your account information up to date. This includes promptly updating any contact or business information if it changes. BePaid Sàrl is not responsible for any loss or issues arising from inaccurate or outdated information you provide.
One Account: Each user or business entity should maintain only one account, unless explicitly allowed by us (for example, you might have a personal account and a separate organization account linked to it as per our Service design). You may not create an account using false identity or on behalf of someone else without permission.
Security of Credentials: You are responsible for maintaining the confidentiality of your account login credentials (email and password). Do not share your password with anyone. If you suspect that your account has been compromised (for example, if you notice unauthorized activity or you lose control of your password), you must notify us immediately at our support contact.
Account Usage: You are responsible for all activities that occur under your account. Any action taken through your account will be assumed to be authorized by you. We strongly recommend using a strong, unique password and enabling any additional security features we may offer (such as two-factor authentication, if available). BePaid Sàrl will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
Unauthorized Access: We reserve the right to suspend or terminate any account that we believe may have been compromised or is being used fraudulently or in violation of these Terms, in order to protect you, BePaid, and other users.
BePaid offers both a free tier (with limited features) and paid subscription plans with expanded functionality. The specifics of the plans, including pricing and features, are described on our website or within the Service interface.
Free Tier: Our free plan allows you to use the Service with certain limitations (for example, a cap on the number of invoices or limited features). The free tier is provided as a courtesy to let you evaluate and use basic aspects of BePaid. BePaid Sàrl reserves the right to change the features of the free tier, impose additional limitations, or discontinue the free tier entirely at any time. We will endeavor to give advance notice if any changes to the free plan might significantly impact you. As a free user, you understand that support may be limited and the features are not guaranteed to meet all your needs.
Paid Plans: If you choose to upgrade to a paid subscription, you will gain access to additional features or higher usage limits as described for the plan you select. Paid plans may be offered on a monthly, yearly, or other subscription period basis. When you subscribe, you agree to pay the subscription fees and any applicable taxes in advance for each billing cycle. Pricing and available plans are visible on our site; we may update our fees or introduce new plans from time to time, but any changes to pricing will not retroactively affect your current paid period (see Section 6 on changes).
No Refund Policy: All payments are final. Once you have paid a subscription fee (whether monthly, annual, or any term), there are no refunds or pro-rated cancellations for that billing period, except where required by law. This means that if you cancel your paid plan in the middle of a paid term, or if your account is terminated due to a violation of these Terms, you will not receive a refund for the remaining period. We provide a free tier specifically so you can evaluate the Service before committing to a paid plan. Please be sure that BePaid meets your needs before upgrading to a paid plan.
Payment Processor: All payments for BePaid subscriptions are handled through our secure payment provider, Stripe. By providing payment information, you agree to Stripe’s terms and conditions and privacy policy. We do not process or store your full credit card details directly. Stripe will charge your provided payment method for the subscription fee and will periodically (e.g., monthly or annually, depending on your plan) auto-renew your subscription by charging the same payment method, until you cancel.
Billing Cycle and Auto-Renewal: Your subscription will commence when we confirm your payment and will continue for the subscription period selected (e.g., one month, one year). Subscriptions automatically renew at the end of each billing cycle for another term of the same length, unless you cancel the subscription before the next renewal date. By default, you agree to auto-renewal when subscribing. We will charge your card at the start of each renewal term. If pricing has changed, we will notify you in advance and give you an opportunity to cancel before renewal at the new rate.
Failed Payments: If a payment fails (for example, due to an expired card or insufficient funds), we will attempt to notify you and retry the charge. If payment is not received within a reasonable grace period, we may downgrade your account to the free tier or suspend your access to paid features until payment is resolved. It is your responsibility to ensure your payment information is current and valid.
Upgrades and Downgrades: If you upgrade your plan (e.g., from a monthly to an annual plan, or to a higher tier), the change will take effect immediately and you will be charged the pro-rated amount or new plan fee as applicable (details will be provided at the time of upgrade). If you downgrade your plan or cancel auto-renewal, the change will usually apply after the end of your current billing period (you will retain access to paid features until that period ends). Be aware that downgrading to the free tier might result in loss of access to certain data or features if they are beyond the free plan’s limits. We advise you to export or secure any data you need before a downgrade.
Taxes: All fees are stated and charged in Swiss Francs (CHF) unless otherwise noted. They may be inclusive or exclusive of Swiss VAT (Value Added Tax) depending on the details provided on the purchase page. We will comply with Swiss tax law in charging VAT if applicable. You are responsible for any other taxes or duties payable under applicable law (aside from income taxes levied on BePaid Sàrl). If you are tax-exempt or if a reverse charge mechanism applies, it is your responsibility to provide appropriate documentation.
No Chargebacks Fraudulent Use: If we suspect that a payment is fraudulent or an unauthorized chargeback is initiated, we reserve the right to suspend the account while we investigate. We prefer to work out any billing issues directly with you – so please contact us if you believe a charge is incorrect. Unauthorized chargebacks may be treated as a breach of this agreement.
By using BePaid.ch, you agree to use the Service responsibly and only for its intended purpose (managing your invoices and related business finances in a lawful manner). You expressly agree to the following:
Lawful Use: You will not use the Service for any unlawful purpose or in violation of any local, cantonal, federal, or international law or regulation. This includes (but is not limited to) refraining from using BePaid to engage in fraud, money laundering, financing illegal activities, or to produce invoices/documents that are fraudulent or illegal.
Accuracy of Invoices: You are responsible for the content of the invoices and documents you generate. BePaid provides a tool for invoicing, but we do not advise on the legality or accuracy of the content you input. You must ensure that your invoices meet any legal requirements (for example, including required business identifiers or VAT information) and that all information (amounts, recipient details, etc.) is correct. BePaid Sàrl is not liable for any errors or omissions in your invoice content or any consequences arising from those errors.
No Unauthorized Data Sharing: If you input personal data of third parties (such as your customers’ information on invoices), you confirm that you have the right to use and process that information. You must comply with applicable data protection laws regarding such data. You will not upload or input sensitive personal data that is not necessary for invoice processing, and you will not violate anyone’s privacy or data protection rights through your use of the Service.
No Harmful Activity: You will not introduce viruses, malware, or any other harmful code into the Service. You will not attempt to gain unauthorized access to the Service (or related systems and networks) or disrupt the integrity or performance of the Service. Any attempt to hack, overload, or attack our infrastructure is strictly prohibited and may result in termination of your access and legal action.
Proper Use of Features: You will use the Service as intended. This means you will not misuse features, attempt to circumvent usage limits, or use the Service in a manner that could impair others’ ability to use it. For example, do not use automated scripts to excessively call our APIs or create mass registrations without authorization.
No Resale or Unauthorized Commercial Use: You are not permitted to resell our Service or access to our Service to third parties without our explicit written permission. Similarly, you may not use the Service to provide bureau service or software-as-a-service to others as a layer on top of our platform, unless such use is explicitly allowed by a separate agreement with us.
Respect for Intellectual Property: You will not copy, distribute, modify, or create derivative works of the software, designs, or any content provided as part of the Service (except your own data) unless expressly permitted by us. Scraping or data mining of our site without permission is forbidden.
User Content Standards: Aside from invoice data, if you are allowed to post or upload any other content (for example, a company logo, profile picture, or attachments to invoices), you must ensure you have the rights to that content and that it does not infringe any third-party rights (such as copyrights or trademarks), and that it is not offensive, illegal, or otherwise objectionable. We do not generally monitor user-uploaded content, but we reserve the right to remove any material that we believe violates these Terms or the law.
If you violate any of the above obligations or any other provision of these Terms, we may terminate or suspend your account (see Section 11) and you may be subject to legal consequences. You agree to indemnify and hold BePaid Sàrl harmless from any claims, losses, or damages (including legal fees) resulting from your breach of these obligations or misuse of the Service (see Section 10 on Indemnification).
Our Intellectual Property: The Service (including all software, source code, design elements, logos, trademarks, content, and documentation) is the intellectual property of BePaid Sàrl or its licensors. All rights, title, and interest in and to the Service remain with us. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal purposes, in accordance with these Terms. You do not acquire any ownership in the Service itself by using it or by paying for a subscription. Any BePaid logos or names are trademarks of BePaid Sàrl, and you may not use them without our prior written consent, except as necessary to identify your use of the Service (for example, you can state “Powered by BePaid” on an invoice if such attribution is provided by us).
User Content and Data: You retain all rights to the content and data you input into the Service (such as your invoices, customer lists, and any documents you generate – collectively, "User Content"). We do not claim ownership over your User Content. By using the Service and inputting User Content, you grant us a limited license to host, store, transmit, and process your Content as needed to provide the Service to you. This includes displaying the content to you within the application, making backups, and transmitting it to recipients as you direct (for example, if you use our Service to email an invoice to your client). We will never use your User Content for purposes outside the scope of providing the Service without your permission.
Data Processing Agreement: In many cases, when you use BePaid to process personal data of others (e.g., your customers’ contact info on an invoice), you are the data controller and BePaid is a data processor. Our Privacy Policy and these Terms reflect our commitment to handle such data in accordance with your instructions and applicable law. For business users that require a formal Data Processing Agreement (DPA) under laws like the FADP or GDPR, our Privacy Policy and Terms can serve that function, or you can contact us for a separate DPA if needed. We will not access or use the personal data in your invoices for any purpose other than providing the service, except as required by law or allowed by our Privacy Policy (e.g., for backups or as aggregated anonymized data).
Feedback: If you provide us with any suggestions, feedback, or ideas on improving BePaid (“Feedback”), you acknowledge that this Feedback is given voluntarily. We are free to use, disclose, and implement the Feedback as we see fit, without any obligation or compensation to you. Any improvements or modifications to the Service based on Feedback will remain our property.
The BePaid Service may integrate with or provide links to third-party services that are not owned or controlled by us. Examples include:
Payment processing by Stripe, as described earlier. When you make payments, you are interacting with Stripe’s system, and their terms of service and privacy policy apply to those interactions.
Analytics or integrations that may present content from third parties (for example, if we display a map or embed a third-party widget at any point, or if you navigate to an external link through our interface).
We are not responsible for the content, policies, or practices of any third-party websites or services. If you follow a link to a third-party site (for example, a link to our blog on a different domain or a help center, etc.), any data you provide to that third party or any dealings you have are solely between you and that third party. We encourage you to review the terms and privacy policies of any third-party services you access.
That said, if a third-party service is processing data on our behalf as part of the BePaid functionality (like those listed in the Privacy Policy’s Section 6), we take care to engage reputable providers and we will address any issues arising from their performance of services for us. But under no circumstance will we be liable for damages or losses caused by third-party acts or content outside our control.
You agree to indemnify, defend and hold harmless BePaid Sàrl and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and legal costs) that arise from or relate to: (a) your use or misuse of the Service; (b) your violation of these Terms or any law or regulation; (c) your infringement of any intellectual property or other rights of any third party; or (d) any dispute between you and a third party (such as a customer of yours) arising from your use of the Service.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with us in asserting any available defenses). This indemnity obligation will survive any termination of your account or this agreement.
By You (Cancellation): You may stop using the Service at any time. If you wish to terminate your account, you can do so by following the instructions in your account settings or by contacting us. Termination will be effective once processed by us. If you are on a paid plan, you can cancel your subscription to prevent the next renewal, but as noted, we will not refund the remainder of any paid term. Upon termination or cancellation, you will lose access to the Service’s features that require an account. We recommend exporting any important data (like invoice records) before you close your account. After account deletion, we will handle your data as outlined in the Privacy Policy (generally, data will be deleted or anonymized, except as retained for legal obligations).
By Us (Suspension/Termination): We may suspend or terminate your access to the Service (or downgrade your account from paid to free) under the following circumstances:
Violation of Terms: If you breach any provision of these Terms or misuse the Service, we may suspend your account immediately and, if the issue is not promptly remedied or is severe, terminate your account. No refund will be provided in such cases.
Legal Requirement: If we are required by law enforcement or a government authority to suspend or terminate your account (for example, if there is evidence of illegal conduct), we will comply as necessary.
Security Threats: If your account is compromised or your use of the Service poses a security risk or could subject us to liability, we may temporarily suspend your access to protect the integrity of the Service. We will attempt to contact you in such case and work with you to resolve the issue, but reserve the right to terminate if the risk cannot be mitigated.
Discontinuation of Service: If, in the unfortunate event, BePaid Sàrl decides to discontinue the Service entirely, we will provide you with at least 30 days’ notice when feasible. During that notice period, we may terminate all accounts at the end of the period. If you have a paid subscription that extends beyond the termination date, we will refund the unused portion of your subscription fee (for example, if you paid annually and the service ends halfway through, we would refund the remaining half of the year’s fee).
Non-Payment: As mentioned in Section 6, if you fail to pay the subscription fees due for a paid plan and do not remedy that within the given grace period, we may downgrade or suspend your account until payment is received. Prolonged non-payment may result in termination of the paid features (your account might revert to free tier access if available, or be closed if the free tier is not applicable).
Effect of Termination: Upon termination of your account, whether by you or by us, your right to use the Service ceases immediately. We will close your account and you will no longer be able to access the Service or your data through the platform (so please ensure you have what you need prior to termination). We are not obligated to maintain or provide any of your data after termination, except as required by law. However, for a limited time, we may retain your data in backups or archives before deletion as described in our Privacy Policy. All provisions of these Terms that by their nature should survive termination (such as intellectual property provisions, disclaimers of warranty, limitation of liability, indemnity, and governing law) will survive.
Service Provided "AS IS": BePaid.ch and all its features are provided on an “as is” and “as available” basis. While we strive to offer a reliable and high-quality Service, we do not warrant that the Service will meet your requirements or that it will be uninterrupted, error-free, or completely secure. You acknowledge that there are risks inherent in internet connectivity and software use, including data loss, security breaches, and service interruptions.
No Implied Warranties: To the maximum extent permitted by applicable law, BePaid Sàrl disclaims all warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We also make no warranty that the results obtained from the use of the Service (e.g., the outcome of using our invoicing for your business) will be accurate or reliable, or that any errors in the Service will be corrected promptly.
Limited Warranty – Data Backups: BePaid does maintain regular backups and employs measures to protect data (as described in our Privacy Policy under security). While we will take reasonable care, including maintaining backups, to prevent data loss and to ensure availability, we do not guarantee that your data will never be lost or that the Service will always be available at any particular uptime level. Our backup systems are a safeguard, but not a promise of complete restoration of all data in every scenario.
User’s Responsibility: You understand that you are responsible for verifying the completeness and accuracy of any data you download or export from our Service. We encourage you to keep copies of important records (for example, periodic exports of your invoices) as an extra precaution. Any reliance you place on the Service is at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties. If Swiss law or other applicable law does not allow the exclusion of certain warranties, then those warranties (such as any statutory warranties) are not excluded but limited to the minimum extent required by law.
To the fullest extent permitted by applicable law, in no event shall BePaid Sàrl or its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
We are aware that our users rely on BePaid for their invoicing needs, but you acknowledge that the fees paid (if any) reflect the allocation of risk and the limitations of liability herein. In no case shall BePaid Sàrl’s aggregate liability for all claims arising from your use of the Service exceed the amount you paid to us for the Service in the 12 months immediately preceding the event giving rise to the claim. If you are on the free tier or have not paid any amount, our total liability shall be zero or the minimum amount permitted by law.
These limitations apply to any cause of action, whether based on contract, tort (including negligence), strict liability, or any other legal theory.
Exceptions: Nothing in these Terms shall limit or exclude our liability for gross negligence, willful misconduct, or fraud, or for any liability that cannot be excluded or limited under Swiss law (for example, certain statutory liabilities or liabilities for personal injury caused by negligence).
BePaid Sàrl may revise or update these Terms from time to time. If we make material changes, we will notify you by e-mail (sent to the address associated with your account) or by posting a prominent notice on our website (for example, via a banner or announcement in your account dashboard). Updated Terms will be indicated by an updated “Last Updated” date at the top of this document.
Continued Use Equals Acceptance: By continuing to use the Service after updated Terms have been posted and become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you must stop using the Service and, if applicable, cancel your subscription. We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of BePaid.
These Terms and any disputes arising out of or related to the Service or these Terms shall be governed exclusively by the laws of Switzerland, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) is expressly excluded, as this is a services contract.
Jurisdiction: Any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Service that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of the Canton of Vaud, Switzerland (or the competent Swiss federal courts, as applicable). Notwithstanding the foregoing, if you are a consumer residing in Switzerland, you may have the right to bring legal proceedings in your canton of residence under certain consumer protection laws. Nothing in this clause affects any rights you may have as a consumer under mandatory provisions of Swiss law.
Entire Agreement: These Terms (together with the Privacy Policy and any other guidelines or policies we expressly incorporate by reference) constitute the entire agreement between you and BePaid Sàrl regarding the Service, and supersede any prior agreements or understandings (whether written or oral) relating to the same subject matter.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to make it enforceable (or, if not possible, severed), and the remaining provisions of these Terms will continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of BePaid Sàrl.
Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. We may assign or transfer this agreement (including all of our rights and obligations) in connection with a merger, acquisition, sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
No Partnership: No agency, partnership, joint venture, or employment is created as a result of these Terms, and you have no authority of any kind to bind BePaid Sàrl in any respect. You are using the Service as an independent party and are solely responsible for your own dealings, taxes, and legal compliance.
Notices: We may provide you with notices, including those regarding changes to these Terms or matters related to your account, by email or by postings on the BePaid.ch site. Notice will be deemed given 24 hours after the email is sent or notice is posted. If you need to give notice to us, you can do so through our contact page or to the mailing address provided for BePaid Sàrl above, unless we specify a particular email or online method for specific types of notice.
